PICKME END USER LICENSE AGREEMENT

This End User License Agreement (“EULA”) is a legal agreement between you and PickMe (“Company”, “we”, “us”, or “our”), governing your use of the applications, software, services, and websites (collectively, “Application”) provided by PickMe. By downloading, accessing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to the EULA, do not use the Application.

  1. License Grant and Restrictionsa. License Grant:
    PickMe grants you a revocable, non-exclusive, non-transferable, limited license to use the Application solely for your personal, non-commercial purposes, strictly in accordance with the terms of this EULA.

    b. Restrictions: You may not:

    • Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Application.
    • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application or any part thereof.
    • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Application or any features or functionality of the Application, to any third party for any reason, including by making the Application available on a network where it is capable of being accessed by more than one device at any time.
    • Remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Application.
  2. Consent to Use of Data
    You agree that PickMe may collect and use technical data and related information—including but not limited to technical information about your device, system and applications, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Application. PickMe may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

  3. Termination
    This EULA is effective until terminated by you or PickMe. Your rights under this EULA will terminate automatically without notice from PickMe if you fail to comply with any term(s) of this EULA. Upon termination of the EULA, you shall cease all use of the Application and delete all copies of the Application from your devices.

  4. External Services
    The Application may enable access to PickMe’s and/or third-party services and websites (“External Services”). Use of the External Services is subject to the terms of this EULA and any other terms provided by the External Services. PickMe does not endorse, and is not responsible for, the content of External Services.

  5. No Warranty
    The Application is provided to you “AS IS” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, PickMe, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Application, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

  6. Limitation of Liability
    To the fullest extent permitted by applicable law, in no event will PickMe or its affiliates, or any of its or their respective licensors or service providers, be liable for any direct, indirect, incidental, special, exemplary, or consequential damages whatsoever arising out of, or in connection with, your use or inability to use the Application, however caused, regardless of the theory of liability (contract, tort, or otherwise) and even if PickMe has been advised of the possibility of such damages.

  7. Export Regulation
    The Application may be subject to export control laws of the United States and other jurisdictions. You agree to comply with all applicable international and national laws that apply to the Application, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

  8. Governing Law
    This EULA and your use of the Application are governed by the laws of the country in which PickMe is headquartered, excluding its conflicts of law rules. Any dispute arising out of or in connection to this EULA shall be subject to the exclusive jurisdiction of the courts located in the headquarters country of PickMe.

  9. Modification
    PickMe reserves the right, at its discretion, to modify this EULA at any time by posting a notice on its website, sending you a notice through the Application, or by some other means. You will be bound by any such modifications.

By using the Application, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions. You also agree that this EULA is the complete and exclusive statement of agreement between you and PickMe, superseding any proposal or prior agreement, oral or written, and any other communications between you and PickMe relating to the subject matter of this EULA.
